Company Incorporation Services

Registering a company in India is the easy part. Choosing the wrong structure, or leaving the post-incorporation filings half done, is what costs money later — a strike-off notice two years on, a funding round delayed while somebody reconstructs the register of members, or a foreign parent discovering that its capital infusion was never reported.

Akash & Co. handles company incorporation across Delhi NCR and North India as the first step of a longer relationship rather than as a one-off filing. We advise on the structure before we file for it, complete the incorporation through the MCA's SPICe+ process, and close out the registrations and board formalities that follow — so the company is not just registered, but properly constituted.

What we do

The default structure for businesses that intend to raise capital or bring in partners.

Including the LLP agreement and partner formalities.

One Person Company and small company routes for single founders.

Including companies formed with an eye on a future listing.

Not-for-profit objects, including licence and object drafting.

For foreign parents, with FDI route analysis before incorporation.

Set-up for foreign companies, including the RBI and AD Bank route.

Proprietorship or partnership to private limited, private to public, company to LLP and back.

First board meeting papers, statutory registers, share certificates, INC-20A, auditor appointment, PAN, TAN, GST, EPFO, ESIC and bank account opening.

Including trademark-conflict checks before you commit to a name.

Who this is for

First-time founders in Noida, Ghaziabad and Delhi; MSMEs converting from proprietorship or partnership; foreign companies establishing an Indian presence; and professionals or families setting up holding structures.

The structure question, answered properly

Most incorporation enquiries begin with "private limited or LLP?" — and the honest answer depends on facts nobody asks about on a comparison chart. Do you intend to raise external equity? Will there be employees you want to give options to? Is there a foreign shareholder, and is the sector on the automatic route? Will profits be distributed annually or retained? What does the compliance load cost you each year against the liability protection it buys?

We work through those questions with you before anything is filed, because changing structure afterwards costs several times what choosing correctly costs at the start.

The FAQs

Where the documentation is complete and the proposed name is clean, incorporation through SPICe+ is usually a matter of days rather than weeks. The realistic timeline depends on name approval, on how quickly directors obtain their digital signatures, and — where a foreign director or shareholder is involved — on the notarisation and apostille of documents abroad, which is normally the longest step.

For each director and subscriber: PAN, identity proof, address proof, a recent utility bill and a passport-size photograph; for foreign nationals, a notarised and apostilled passport and address proof. For the company: proof of the registered office address, a utility bill not older than the prescribed period, and a no-objection certificate from the owner of the premises. We send a single consolidated checklist rather than asking for documents piecemeal.

Yes, subject to the FDI policy for the relevant sector. Many sectors permit 100% foreign ownership under the automatic route; others require government approval or carry sectoral caps and conditions. At least one director must be resident in India. The investment also has to be reported to the RBI within the prescribed timelines — which is where most first-time foreign investors get caught out. We check the route before incorporation, not after the money arrives.
