The annual compliance calendar for a private limited company

Corporate compliance fails quietly. Nobody notices a missed form until a bank, investor or strike-off notice forces the issue.

At minimum, a private limited company needs to hold board meetings and the AGM within the prescribed periods, prepare the directors’ report and financial statements, file AOC-4 and MGT-7 or MGT-7A, maintain statutory registers and minute books, file DIR-3 KYC for every director, and file DPT-3.

Depending on the company there may also be MSME-1, BEN-2, FLA, FC-GPR and charge-related filings. A company that trades but files nothing accumulates penalties that run per day and do not lapse.

We run compliance as a managed calendar — due dates mapped at the start of the year, documents requested in advance, and every filing returned with its challan. See Compliance & Diligence Services.
