Most incorporation enquiries begin with “private limited or LLP?” — and the honest answer depends on facts nobody asks about on a comparison chart. Do you intend to raise external equity? Will there be employees you want to give options to? Is there a foreign shareholder, and is the sector on the automatic route? Will profits be distributed annually or retained?
A private limited company is usually the better vehicle where external capital, ESOPs or a future listing are on the table. An LLP can be cleaner for professional practices and closely held partnerships that do not need equity instruments.
We work through those questions before anything is filed, because changing structure afterwards costs several times what choosing correctly costs at the start. If you are incorporating now, start with our Incorporation Services.
